📄 A360 Medway - Design Services Terms & Conditions

1. Definitions & Agreement
1.1. These Terms and Conditions ("Terms") govern all design services provided by A360 Micro Digital ("Designer," "I," "me") to the client ("Client," "you").
1.2. By requesting, paying for, or accepting any services, the Client agrees to be bound by these Terms. Any conflicting terms proposed by the client are expressly rejected.

2. Services & Process
2.1. Services are as described on the designer's website and in any written proposal or quote ("Project Brief").
2.2. The standard process includes:
- Consultation & Briefing: The client provides all necessary information, brand assets, images, and content.
- Design Phase: The designer creates concepts based on the approved brief.
- Revisions: The client is entitled to a specified number of revision rounds (e.g., 2 major revisions) on the chosen concept.
- Final Delivery: Upon final approval and full payment, the designer supplies the final digital files.

3. Client Responsibilities
3.1. The Client agrees to:
- Provide clear instructions, copy, images, logos, and any other required materials on time.
- Designate a single point of contact for feedback and approvals to avoid delays.
- Review all proofs and concepts promptly and provide clear, consolidated feedback.

4. Pricing, Quotes & Payment
4.1. All prices are in GBP (£). Payment in full is required to commence work.
4.2. For Orders over £750: we require a 50% deposit. The remaining balance is due upon final approval and before the release of high-resolution files.
4.3. Additional work outside the original project brief will be quoted separately and is subject to these same terms.
4.4. Payments are to be made via the methods specified on the designer's website.

5. Timelines & Delays
5.1. The Designer will provide an estimated timeline. This timeline is dependent on the client's prompt provision of materials and feedback.
5.2. The Designer is not liable for project delays caused by the Client's failure to meet agreed deadlines for feedback or content supply.

6. Revisions & Scope Changes
6.1. The quoted price includes a specified number of revision rounds (e.g., two) on the approved design direction.
6.2. Requests for significant changes to the approved concept, or additional revisions beyond the agreed number, may incur additional fees at the designer's standard hourly rate.

7. Cancellation & Termination
7.1. The Client may terminate the project at any time by providing written notice.
7.2. If the project is terminated after work has begun, costs are nonrefundable. The designer may also invoice for any additional work completed at the standard hourly rate up to the point of termination.
7.3. The Designer reserves the right to terminate a project if the Client is in breach of these Terms, is unresponsive for an extended period (e.g., 30 days), or if the working relationship has broken down. In such cases, fees paid are nonrefundable.

8. Intellectual Property & Usage Rights
8.1. The Designer retains all copyright and ownership of preliminary concepts, drafts, and working files.
8.2. Upon receipt of full and final payment, the Client is granted an exclusive, perpetual license to use the final delivered design artwork for its intended purpose (e.g., business marketing, album release, website).
8.3. The Client may not resell, modify for resale, or claim authorship of the design.
8.4. The designer retains the right to display all completed work in their portfolio, including on their website and social media, for self-promotion.

9. Liability & Warranties
9.1. The Designer warrants that the final artwork will be their original work and will not knowingly infringe upon any third-party rights.
9.2. The Client warrants that all materials (text, images, logos) provided are either owned by them or they have obtained full rights and licenses for their use in the project.
9.3. The designer's total liability for any claim shall be limited to the total fee paid for the project.

10. General
10.1. The laws of England and Wales govern these terms.
10.2. If any part of these terms is found to be unenforceable, the remainder will stay in full force.
